1. Acceptance of Terms

By creating an account and using our music streaming platform, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our service. These terms apply to all users, including listeners and artists.

2. Account Types

2.1 Listener Accounts

Listener accounts are open to the public. By creating a listener account, you agree to:

• Use the service only for personal, non-commercial purposes
• Not attempt to download, record, or redistribute content from the platform
• Respect the intellectual property rights of artists and content creators
• Not share your account credentials with others
• Not use automated tools or bots to access the service

2.2 Artist Accounts

Artist accounts are by invitation only. By accepting an invitation and creating an artist account, you represent and warrant that:

• You have the legal right to distribute the music you upload
• You own or have obtained all necessary rights, licenses, and permissions for the content you upload
• Your content does not infringe on any third-party intellectual property rights
• You will not upload content that is illegal, harmful, or violates any laws or regulations
• You will maintain accurate information about revenue splits for collaborative works

3. User Conduct

All users agree to use the platform responsibly and respectfully. You may not:

• Harass, threaten, or abuse other users
• Attempt to gain unauthorized access to the platform or other user accounts
• Use the platform for any illegal purposes
• Interfere with or disrupt the platform's operation
• Create multiple accounts to evade restrictions or bans

4. Revenue Distribution (Artists Only)

Our platform uses a user-centric payment system (UCPS). Revenue from listener subscriptions is distributed directly to the artists that each listener streams, rather than being pooled across all artists. Revenue splits for tracks with multiple artists are determined by the percentages you specify when uploading your music.

5. Content Ownership (Artists Only)

You retain all ownership rights to the music and content you upload. By uploading content to our platform, you grant us a non-exclusive, worldwide license to:

• Store, distribute, and publicly perform your content on our platform
• Display your artist profile, album artwork, and metadata
• Use your content for promotional purposes related to our service

This license terminates when you remove your content from the platform, except for content that has been shared or distributed by users prior to removal.

6. Prohibited Content

Users may not upload, share, or distribute content that:

• Infringes on intellectual property rights of others
• Contains malware, viruses, or harmful code
• Violates any applicable laws or regulations
• Promotes illegal activities, violence, or hate speech
• Contains unauthorized use of another person's image or likeness
• Is deliberately misleading or fraudulent

7. Account Termination

We reserve the right to suspend or terminate accounts that violate these terms or engage in activities that harm our platform, users, or reputation. You may close your account at any time by contacting us. Upon account closure, listeners will lose access to playlists and preferences, while artists will have the option to remove their content from the platform.

8. Payment Terms (Artists Only)

Artists will receive payments based on the revenue generated from listeners who stream their content. Payments are processed monthly, subject to minimum payout thresholds. Detailed payment information and schedules will be provided in your artist dashboard.

9. Privacy

Your privacy is important to us. We collect and use your personal information in accordance with our Privacy Policy. By using our service, you consent to our collection and use of your information as described in the Privacy Policy. We collect listening data to provide personalized recommendations and to calculate artist payments.

10. Limitation of Liability

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our service. Our total liability shall not exceed the amount you have paid us in the past twelve months.

11. Changes to Terms

We may update these Terms of Service from time to time. We will notify you of significant changes via email or through the platform. Your continued use of the service after changes constitutes acceptance of the updated terms.
